Synopsys buys WhiteHat Security from NTT for $330M

Synopsys Inc. today signed a definitive agreement to acquire application security provider WhiteHat Security from Nippon Telegraph and Telephone Corp. for $330 million in cash.

WhiteHat Security has been owned by NTT since 2019 and was rebranded as NTT Application Security. Founded in 2001 by former Yahoo Inc. information security officer Jeremiah Grossman, WhiteHat provides solutions for website security. The company’s cloud-based service offers a vulnerability management platform and security intelligence services that provide actionable insights for customers.

The WhiteHat Vantage Platform strategically layers three fast, purpose-built testing solutions at critical software development lifecycle inflection points. In doing so, it says, it empowers developers, DevOps and security teams with accurate and contextual security insights as they build, run, deploy and maintain web applications and application programming interfaces.

Offered on a software-as-a-service basis, the platform features a public API that integrates with existing tools to streamline workflows and automate application security throughout the entire software development lifecycle.

In January, WhiteHat/NTT Application Security launched Vantage Prevent, a new phase in the WhiteHat Vantage Platform designed to leverage developers’ functional and quality assurance tests to identify exploitable security risks in their web applications and APIs.

The service allows DevOps engineers to automate security testing in continuous integration and continuous delivery pipelines within their native environment. At the same time, security teams can assess vulnerabilities reported within minutes of discovery before being deployed into production.

The addition of WhiteHat Security, Synopsis said, will provide Synopsys with significant SaaS capabilities and market segment-leading dynamic application security testing technology to strengthen its application security testing portfolio.

“WhiteHat Security helped pioneer SaaS delivery of application security testing and brings powerful technology and expertise into our application security portfolio,” Jason Schmitt, general manager of the Synopsys Software Integrity Group, said in a statement. “WhiteHat Security’s DAST capabilities complement our strengths in static analysis, interactive analysis and software composition analysis, while their expertise in SaaS will accelerate our security testing SaaS capabilities.”

The acquisition is expected to close in Synopsys’ fiscal third quarter of 2022. Synopsys noted that the acquisition would be roughly neutral to its fiscal 2022 adjusted earnings per share.

The deal is the 54th acquisition by Synopsys, based on data from Tracnx. Previous Synopsis acquisitions include application security risk management startup Code Dx Inc. in June.
