Dell subsidiary SecureWorks files for IPO

Another piece of the complex accounting puzzle that is Dell Inc.’s attempt to acquire EMC Corp. has fallen into place after its SecureWorks subsidiary filed for an initial public offering with the US Securities and Exchange Commission. The move appears to be part of the rumored eleven-figure fundraising effort that the technology giant is pursuing in order to help cover the $67 billion bill of the merger, which is made up mainly of debt that will accrue more interest the longer it takes to pay off.

Dell hopes to eliminate up to $10 billion in the first leg of the initiative by selling off three other businesses including its Perot Systems consulting arm. Recent reports indicate that company has already entered negotiations with a group of private equity firms, suggesting the transaction will take place in a matter of months. It’s set to be followed by a public offering from EMC subsidiary Pivotal that could add at least a few hundred million more to the tally, which is roughly in the same ballpark of what SecureWorks aims to raise based on the little information that its filing provides.

However, none of the funds that the subsidiary is poised to receive through its initial stock offer will go towards paying back Dell’s debt. Instead, SecureWorks plans to invest the capital into boosting its already fast-growing top line, which rose a respectable 27 percent this year to $262.1 million. It’s a strategic decision that creates an opportunity for its parent company to realize an even bigger return over time.

Assuming Wall Street responds positively to SecureWorks’ momentum, Dell will be able to sell off its remaining shares of the subsidiary in the months following its stock market debut at a potentially much higher price that they would during fetch during the initial sale. Such a move could enable the technology giant to pay back yet another portion of its debt and free up more resources for its competitive efforts in the process.
